BusinessCall™ Terms of Service

By using the BusinessCall service ("The Service"), you ("You", "User") agree to the following Terms of Service.

  1. Acknowledgement & Acceptance of Terms of Service
  2. The Service is owned and operated by uReach Technologies, Inc. ("uReach.com"), and is provided to You by uReach.com under the Terms & Conditions herein. uReach.com may at any time modify the 'Terms & Conditions' without any prior notice. Any such changes will be displayed on the uReach.com website at URL uReach.com or a subsequent URL within this website. Your continued use of the service (as defined below) thereafter will constitute acceptance of such changes. The 'Terms of Service' and your registration information are the complete 'Terms of Service' between You and uReach.com regarding this Service. You agree to provide true, accurate, correct and complete User registration information and accept responsibility of maintaining and updating any changes to such information necessary to continue the Service.

    BusinessCall is a service that allows a subscriber to separate business calls from personal calls, even on a single mobile phone. The Service assigns a separate "business" number to the mobile phone while leaving the phone's actual "personal" number as is. This business number can be a new local number or it can even be a ported land line number previously connected to a home answering machine.

  3. Service Conditions
  4. These monthly service charges are charged in advance to You prior to the start of the subsequent month's service. Should You terminate the Service at any time during the month, neither complete nor partial refunds will be given, and Your Service will terminate when you request it.

    The Service may offer measured plans as well as unlimited plans. Measured plans include a fixed fee for a fixed number of minutes/texts per month. Measured minutes are counted with a 1 minute minimum for a call and with subsequent minutes rounded to the nearest minute. As such, a 1 second call will be measured as 1 minute while a 1 minute, 29 second call will also be measured as 1 minute. For some limited plans, any use above that number may result in an overage charge, assessed per minute/text, billed at the end of the month or after the accrued amount reaches the defined limits. Alternately, some measured plans may simply stop processing calls and texts until additional pre-paid service is purchased. Unlimited plans do not have this feature, but uReach.com reserves the right to cancel or move an account from unlimited service to a measured plan should the volume of minutes/texts exceed 2500 minutes/texts per month for 3 months or more. User will be notified in advance prior to uReach.com making a change to your service plan.

    To enhance the user's experience and in addition to the paid component of the BusinessCall messaging service, uReach.com also offers a web component as well as a downloadable smartphone client.

    The Service is designed for personal use only and the User shall not copy, reproduce, duplicate, sell, resell, or make available for gain or exploit the service for any commercial purposes.

    The following section refers to users of the mobile client:

    The Service offers a onetime free trial with limited use, after which the User must (either through the web component or the client) purchase the Service at a monthly recurring cost plus any applicable taxes in order to continue use of all of the features of the Service.

    The period of the trial begins the earlier of when the Service is activated on the device or when the web component is configured, and continues for a limited time with limited use.

    Once the one time free trial expires (i.e. reaches its end on the handset application either as a result of time or use), the user will be notified that the trial has ended and unless the Service is purchased, subsequent outbound calls will be processed using the standard mobile device processing and will no longer display the business caller ID to called parties. The application will no longer offer the interface to create outbound SMS messages from the business number. If the application is opened, it will present the subscriber with an opportunity to subscribe to the service, exit the app, or view existing data in the app.

    When a trial expires, calls to the business number will not be completed, and callers to the business number will get a message stating that the number is not reachable. Texts to an expired trial business number will not be delivered and will get no response, and the text will be lost. After a period of time Trial account numbers may be recycled and assigned for use by a new trial participant.

    After the conclusion of a trial, with respect to the iPad/Tablet/web component, even though a trial has expired, You will continue to have access to your existing logs, notes, and messages for at least 30 days. When accessing the Service during this grace period, You will be reminded that your free trial has expired and You will be presented a chance to purchase the application. The Service will not process new calls or texts during this 30 day grace period.

    You agree not to impersonate any other person or entity or to use a false name or a name that You are not authorized to use. You affirm that you are not a minor and can legally enter in into this agreement. uReach.com reserves the right to decline any application to register in its sole discretion. uReach.com reserves the right to terminate the user account if any information provided by You in the registration process is untrue, inaccurate or out-of-date.

    There may be additional charges from your cellular provider for the Service that You are responsible for, such as having a data plan to use the application, and having a voice plan to make calls. All such plans and capabilities and related charges remain the sole responsibility of the User.

    When calls are answered by BusinessCall or You listen to a downloaded message or call into the BusinessCall Service, normal toll and/or long distance, plan minute, and data charges may apply. To eliminate unexpected charges, uReach.com recommends you investigate subscribing to a "nationwide" cell plan that includes sufficient minutes for your needs. uReach.com also recommends that you consider retrieving messages and viewing logs online via the Website whenever it is convenient.

  5. No Emergency Services; No 911 Service
  6. uReach.com does not provide access to 911 emergency services through Business Call; such 911 emergency service continues to be associated with the "personal" number associated with your handset/device.

  9. We respect your privacy and will not sell your information to any third party.

    uReach.com considers any messages sent via the Service to be private correspondence between the sender and recipient. uReach.com shall not edit, or disclose the contents of any communication, except that You agree, uReach.com may do so: (a) as required by law (b) to comply with legal process (c) to conform to the limitations of the Service, or (d) to conform to other, similar technical requirements. You acknowledge and agree that uReach.com does not endorse the content of your communications, and cannot be held responsible for any communications accessed, distributed or received by the user via the Service. uReach.com reserves the right to send email to its Users concerning uReach.com services including but not limited to the BusinessCall service.

    uReach.com may collect information regarding customer activities on our website and within the BusinessCall application. This information is aggregated and used to help provide more useful information to our customers and to understand which parts of our website, products, and services are of most interest. Aggregated data is considered non-personal information for the purposes of these Terms of Service.

  10. Disclaimer of Warranties

You understand and agree that any material and/or data downloaded or otherwise obtained through the use of this Service is accessed at your sole discretion and risk and that you will be solely responsible for any loss of data that results from the download of such material. If the User is dissatisfied with any portion of the Service or with any of these Terms of Use, the user’s sole and exclusive remedy is to discontinue using the Service. You agree not to resell, assign, transfer, charge or deal in any other manner with its rights hereunder or part thereof the Service without uReach.com. express permission in writing.

    uReach.com provides the service to end users on an "AS IS" basis and grants no warranties of any kind, whether expressed, implied, statutory or otherwise with respect to the service. Without limiting the foregoing, uReach.com specifically disclaims any implied warranty of merchantability, fitness for a particular purpose or non-infringement.

    UREACH.COM DOES NOT WARRANT THAT BUSINESSCALL WILL OPERATE OR SERVICES BE PROVIDED WITHOUT INTERRUPTION OR ERROR-FREE. UREACH.COM SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY CONTENT SENT OR PROVIDED AS A RESULT OF THE SERVICES.

  12. Indemnity

You agree to indemnify and hold harmless uReach.com and its subsidiaries, affiliates, officers and employees from any claim or demand, including any made by a third party, arising out of your use of the Service or any interference with the Intellectual Property Rights. You agree not to hold uReach.com and its parent, subsidiaries, affiliates, officers and employees responsible for any direct or indirect damage resulting from the use of the Service, in particular, but not limited to; the use or impossibility to use the Service, confidence in information obtained through the Service, errors and omissions, defects, quality of the transcription, delays in transmission, interruption of Service or loss of data.
